These Terms of Service (“Terms,” “Legal Terms,” or “Agreement”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Metality Lab LLC (“Metality Lab,” “Company,” “we,” “us,” or “our”), governing your access to and use of the InteliGuru mobile application and the Intelimmerse digital universe platform, website, platform, digital coaching services, AI-generated content, and all associated features (collectively, the “Services”).

By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST CEASE USING THE SERVICES IMMEDIATELY.

The Services are intended for individuals 16 years of age or older. By using the Services, you represent and warrant that you meet this requirement.

Please read these Terms carefully, as they contain important information regarding your rights, limitations of liability, disclaimers of warranties, and obligations.

Section A - TERMS OF SERVICE

1. OUR SERVICES

The Services are intended for personal development coaching, fitness coaching, wellness coaching, culinary guidance, interview coaching, spiritual guidance, public speaking coaching, influencer coaching, and related non-medical, non-therapeutic informational purposes.

The Services are not intended for use by individuals in jurisdictions where such use would violate applicable law or impose regulatory obligations on the Company. Users accessing the Services from outside the United States do so at their own initiative and are responsible for complying with local laws.

The Services are not designed to comply with industry-specific regulations, including but not limited to HIPAA, FISMA, PCI-DSS, or GLBA. If your data or usage is subject to such laws, you may not use the Services.

Updates, enhancements, new features, and modifications may be added periodically. Users will be notified within the application when such updates affect functionality.

2. INTELLECTUAL PROPERTY RIGHTS

Our Intellectual Property

We own or license all intellectual property included in the Services, including but not limited to software, source code, databases, text, audio, video, graphics, trademarks, logos, and other content (“Content”). These rights are protected by copyright, trademark, and other applicable laws.

The Content is provided as-is for your personal, non-commercial use.

Your License to Use

Subject to your compliance with these Terms, Metality Lab grants you a limited, non-transferable, revocable license to access the Services and download or print portions for personal, non-commercial use.

No Content may be copied, reproduced, distributed, or modified without our express written permission.

Any breach of these Intellectual Property terms will result in immediate termination of your license to use the Services.

User Submissions

If you send suggestions, comments, feedback, or ideas (“Submissions”), you assign all ownership rights to Metality Lab. You represent that:

  • You have the legal right to submit the content

  • Your Submission is not confidential

  • Your Submission does not infringe any third-party rights

You are solely responsible for any content you submit.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

  1. The information you provide is accurate and complete

  2. You will maintain the accuracy of your account information

  3. You are at least 16 years old

  4. You have legal capacity to enter into these Terms

  5. You will not use automated tools (bots, scripts, scrapers)

  6. You will not use the Services for unlawful purposes

  7. Your use complies with all applicable laws

Failure to meet any of these requirements may result in termination of your account.

4. USER REGISTRATION

You may be required to create an account. You must keep your login credentials confidential and are responsible for all activity under your account.

We reserve the right to:

  • Remove or change usernames

  • Deny account creation

  • Suspend or terminate accounts for violation of these Terms

5. PRODUCTS

All digital products, services, and subscriptions offered through InteliGuru are subject to availability and may change at any time.

6. PURCHASES AND PAYMENT

Payment methods include Visa, Mastercard, Discover, PayPal, and Google/Apple in-app payment systems.

You agree to:

  • Provide accurate payment details

  • Authorize charges to your payment method

  • Keep payment information current

We may refuse or cancel orders suspected of fraud, abuse, or policy violation.

7. SUBSCRIPTIONS

Your subscription provides access based on purchased minutes. Usage rounds up to the next full minute.

Automatic Renewal

Subscriptions renew monthly unless cancelled. You authorize recurring charges.

Free Trial

A 14-day free trial may be offered. If not cancelled before the trial ends, your subscription becomes active and billed automatically.

Cancellation

You may cancel anytime via your account settings. Cancellations must be made at least 4 days before renewal.

Fair Usage Policies

  • Ignite Plan: Up to 250 minutes per billing cycle

  • Elevate Plan: Up to 500 minutes per billing cycle

After the limit is reached, session access pauses until the next cycle.

8. REFUND POLICY

All sales are final. No refunds are issued for digital purchases or subscriptions.

9. SOFTWARE

If the Services include downloadable software, it is provided as-is without warranties. You may not reverse engineer, modify, or redistribute the software unless expressly permitted.

10. PROHIBITED ACTIVITIES

Users agree not to engage in activities including but not limited to:

  • Data scraping

  • Attempting to bypass security

  • Harassing other users

  • Uploading malware

  • Interfering with system operations

  • Impersonation

  • Unauthorized commercial use

  • Reverse engineering

  • Excessive automated usage

Violation may result in termination and legal action.

 

11. USER-GENERATED CONTRIBUTIONS

We may allow Users to create, submit, upload, publish, distribute, or otherwise make available content through the Services (“Contributions”). Contributions may include text, images, audio, videos, suggestions, or other material.

You represent and warrant that:

  • You own or have permission to use all rights in your Contributions

  • Your Contributions do not infringe any third-party rights

  • Your Contributions are not unlawful, harmful, defamatory, harassing, obscene, hateful, or otherwise objectionable

  • Your Contributions do not violate any laws, including those protecting minors

  • Your Contributions are not spam, promotional material, or unauthorized advertising

We may remove, restrict, or disable access to Contributions at any time without notice.

You are solely responsible for your Contributions.

12. CONTRIBUTION LICENSE

By posting Contributions, you grant Metality Lab LLC a worldwide, irrevocable, perpetual, royalty-free, transferable, sublicensable license to:

  • Use

  • Reproduce

  • Modify

  • Distribute

  • Display

  • Publish

  • Translate

  • Create derivative works

This license applies to any purpose, including improving the Services.

You retain ownership of your Contributions. However, you waive all moral rights and agree not to assert them.

13. GUIDELINES FOR REVIEWS

If the Services permit user reviews, you agree that:

  • Reviews must be based on genuine experience

  • Reviews may not contain profanity, hate speech, or unlawful content

  • Reviews cannot contain discriminatory statements

  • Reviews cannot reference illegal activity

  • You may not post reviews on behalf of competitors

  • You may not post false, misleading, or manipulated reviews

We may remove or decline to publish reviews at our discretion.

Reviews do not reflect the views of Metality Lab. We assume no responsibility for reviews.

14. MOBILE APPLICATION LICENSE

We grant you a non-exclusive, non-transferable, revocable license to install and use the InteliGuru app on compatible devices.

You may not:

  • Reverse engineer or attempt to access source code

  • Copy, modify, distribute, or create derivative works

  • Use the app for unauthorized commercial purposes

  • Use automated systems or data scraping tools

  • Violate any applicable laws or third-party agreements

  • Remove proprietary notices

Apple App Store & Google Play Store Requirements

You acknowledge:

  • Apple and Google are not responsible for app support

  • Apple and Google are third-party beneficiaries of this license

  • The app must not be used in ways that violate device or carrier agreements

15. ADVERTISERS

We may allow third-party advertisers to display ads. Advertisers are solely responsible for the content of their advertisements. We do not endorse or control advertised products or services.

16. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to:

  • Monitor the Services for violations

  • Take legal action against violators

  • Restrict or disable user access

  • Remove harmful or excessive content

  • Manage the Services to ensure proper operation

 17. PRIVACY POLICY (REFERENCE ONLY)
Your use of the Services is also governed by our Privacy Policy, which appears in Section B of this same Legal Agreement. By using the Services, you acknowledge that you have read, understood, and agreed to both the Terms of Service (Section A) and the Privacy Policy (Section B). The Privacy Policy forms an integral part of this agreement and describes how we collect, use, and protect your information.

18. TERM AND TERMINATION

These Terms remain in effect as long as you use the Services.

We may, at our discretion and without notice:

  • Suspend or terminate your account

  • Block access to the Services

  • Remove your content

Termination may occur for:

  • Violations of these Terms

  • Illegal or harmful conduct

  • Misuse of the Services

Upon termination:

  • You must stop using the Services

  • You may not create a new account without permission

  • We may pursue legal remedies

19. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to:

  • Modify the Services

  • Change or remove content

  • Discontinue features

  • Update pricing

  • Perform maintenance

We are not liable for any downtime, interruption, loss of data, or discontinuation of any part of the Services.

Nothing obligates us to maintain or update the Services.

20. GOVERNING LAW

These Terms and your use of the Services are governed by the laws of the State of Florida, without regard to conflicts of law rules.

21. DISPUTE RESOLUTION

Informal Negotiations

Parties agree to attempt to resolve disputes informally for at least 30 days.

Arbitration

Unresolved disputes shall be settled through binding arbitration under the American Arbitration Association (AAA) Consumer Rules.

You waive the right to:

  • Sue in court

  • Participate in a class action

  • Have a jury trial

Arbitration will be held in Sarasota, Florida, unless otherwise required.

Exceptions

Disputes relating to:

  • Intellectual property

  • Theft, piracy, or unauthorized use

  • Requests for injunctive relief

may proceed in court.

22. CORRECTIONS

We may correct typographical errors, inaccuracies, or omissions at any time without notice.

23. DISCLAIMER

The Services are provided AS-IS and AS-AVAILABLE.

We disclaim all warranties, including:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

  • Accuracy or reliability of AI-generated content

  • Continuous availability

We do not guarantee:

  • The accuracy of any coach’s advice

  • Results from coaching or personal development

  • That the Services will meet your expectations

  • That outputs will always be correct or relevant

You use the Services at your own risk.

 23A. No Professional Advice Disclaimer

InteliGuru provides coaching, wellness, fitness, personal development, and lifestyle guidance.
It does not provide:

  • Medical advice

  • Mental health treatment

  • Psychological counseling

  • Legal advice

  • Financial advice

  • Professional certification or consulting

No AI-generated response should be interpreted as professional advice.

Users must consult qualified professionals for specialized or high-risk decisions.

23B. Wellness, Fitness & Coaching Advice Limitations

Our fitness, wellness, personal development, and spiritual coaches provide general informational guidance only.

Metality Lab is not responsible for:

  • Injuries from exercise or physical activity

  • Adverse wellness or dietary outcomes

  • Misinterpretation of coaching advice

  • Harm resulting from applying advice incorrectly

Users must assess their own conditions and risks.

23C. No Medical, Mental Health, or Therapeutic Use

The Services do NOT diagnose, treat, or prevent any condition.

InteliGuru is not suitable for individuals needing:

  • Mental health care

  • Psychiatric evaluation

  • Clinical therapy

  • Medical treatment

  • Crisis intervention

Users experiencing mental health symptoms should seek licensed professional help.

 23D. Emergency & Self-Harm Limitation

The Services are not for emergencies.

If you are in danger, experiencing a crisis, or considering self-harm, contact:

  • 911 (U.S.)

  • Your local emergency number

  • A crisis hotline

AI responses are not monitored for crisis intervention.

 23E. No Reliance on AI-Generated Outputs

AI-generated content may:

  • Be incorrect

  • Be outdated

  • Contain errors

  • Misinterpret user intent

  • Produce responses not tailored to your situation

You agree not to rely solely on AI outputs when making personal, physical, or emotional decisions.

23F. Minimum Age Requirement (16+)

You must be at least 16 years old to use the Services.

We do not knowingly collect data from users under 16. If we discover such data, it will be deleted.

 23G. Third-Party Technology Disclaimer

The Services rely on:

  • Firebase

  • Apple/Google frameworks

  • Third-party AI models

  • External APIs

  • Network connectivity

We do not control third-party technologies and are not responsible for:

  • Outages

  • Data loss

  • Incorrect or harmful outputs

  • App performance issues

  • Delays or failures caused by third-party systems

24. LIMITATIONS OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL METALITY LAB LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, OR PARTNERS BE LIABLE FOR ANY:

  • INDIRECT DAMAGES

  • INCIDENTAL DAMAGES

  • SPECIAL DAMAGES

  • CONSEQUENTIAL DAMAGES

  • EXEMPLARY DAMAGES

  • PUNITIVE DAMAGES

  • LOSS OF PROFITS

  • LOSS OF REVENUE

  • LOSS OF DATA

  • LOSS OF GOODWILL

  • SERVICE INTERRUPTIONS

  • COMPUTER OR DEVICE DAMAGE

arising out of or related to your use of the Services.

This includes, but is not limited to damages resulting from:

  1. Errors, inaccuracies, or omissions in AI-generated content

  2. Personal injury or property damage resulting from use of the Services

  3. Unauthorized access to servers or personal information

  4. Interruption, suspension, or termination of the Services

  5. Bugs, viruses, trojans, or harmful code transmitted through the Services

  6. Advice or coaching interpretation errors

  7. Connectivity issues causing session loss or minute depletion

  8. Third-party service failures, including Firebase or platform APIs

Liability Cap

If liability cannot be fully excluded, our total liability shall not exceed:

the amount paid by you to us in the four (4) months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain exclusions, so some limitations may not apply to you.

25. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Metality Lab LLC and its officers, employees, partners, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys’ fees) arising out of:

  1. Your use of the Services

  2. Your breach of these Terms

  3. Your violation of the rights of any third party

  4. Any harmful act toward another user

  5. Your Contributions or misuse of Content

  6. Your reliance on any AI-generated content or coaching guidance

We reserve the right to assume exclusive defense at your expense.

26. USER DATA

We maintain data transmitted through the Services to support functionality and performance. While we encrypt data in transit and use secure practices, you agree:

  • We are not liable for data loss or corruption

  • You are responsible for backing up your data

  • You waive any claims arising from lost, corrupted, or inaccessible data

Session data, analytics, and usage information may be stored to improve the platform.

27. DATA COLLECTION

We collect personal information such as:

  • Name

  • Email address

  • Phone number

  • Profile details

  • Usage analytics

  • Device and performance data

A. Conversations & Storage

AI-based conversations may be stored for:

  • Service optimization

  • Coaching quality improvement

  • Platform refinement

Data is not linked to identifiable personal information unless you provide it voluntarily.

B. Sensitive Information Warning

The Services are NOT HIPAA-compliant.
Users should not share:

  • Medical information

  • Psychiatric information

  • Financial account details

  • Legal matters

  • Highly sensitive personal data

C. User Control

Users may request deletion of their account and associated data.

28. DATA PROTECTION (UK GDPR COMPLIANCE)

For UK and EU users, we comply with:

  • The UK General Data Protection Regulation (UK GDPR)

  • The Data Protection Act 2018

  • Applicable EU data protection principles

Users have rights to:

  • Access personal data

  • Correct inaccuracies

  • Request deletion

  • Request data portability

Complaints may be filed with the UK Information Commissioner’s Office (ICO).

We encourage users not to submit health or sensitive personal data.

29. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

By using the Services, you consent to:

  • Electronic contracts

  • Electronic signatures

  • Electronic notices and disclosures

These satisfy any legal requirement for written communication.

You waive any rights requiring:

  • Non-electronic signatures

  • Paper records

  • In-person execution of agreements

31. INTERNATIONAL COMPLIANCE

A. Canada (PIPEDA / CASL)

  • Anti-Spam Legislation (CASL)

Users may request access or correction of their personal data.

B. Australia (Privacy Act 1988 / ACL)

Australian users retain rights under:

  • Australian Privacy Principles (APPs)

  • Australian Consumer Law (ACL)

C. India (Information Technology Act, 2000)

We maintain reasonable security procedures under the IT Act.

Users should not provide sensitive financial or health information.

32. MISCELLANEOUS

These Terms constitute the entire agreement between you and Metality Lab.

Severability

If any provision is found unlawful or unenforceable, the remaining provisions remain valid.

No Waiver

Failure to enforce any right does not waive future enforcement.

Assignment

We may assign our rights and obligations. You may not assign yours without written consent.

Force Majeure

We are not responsible for delays caused by events beyond our reasonable control.

Interpretation

These Terms shall not be construed against the drafter.

This Privacy Policy explains how we collect, use, disclose, store, and safeguard your information when you access or use the InteliGuru mobile application, Intelimmerse digital universe platform, website, and related services (collectively, the “Services”).

By using the Services, you agree to the terms outlined in this Privacy Policy.

This Privacy Policy applies to the following:

  • The InteliGuru mobile application

  • The Intelimmerse digital universe

  • User accounts and profiles

  • Subscription and purchase features

This Privacy Policy does not apply to:

  • Third-party websites linked from our Services

  • Platforms outside our control

  • Any service used in violation of the minimum age requirement (16+)

We collect personal and sensitive user data as defined under the Google Play User Data Policy, including personal identifiers, usage data, and AI interaction content.

When creating or updating an account, you may provide:

  • Password or authentication credentials

  • Age/date of birth (for 16+ verification)

  • User profile preferences

B. Usage Information

We collect data related to how you interact with the Services:

  • Coaching session time and timestamps

  • Subscription tier & usage limits

  • Interaction frequency

  • Navigation behavior

  • App feature engagement

  • In-app user flows

C. Device & Technical Data

Automatically collected via Firebase and your device:

  • Device model and OS

  • IP address

  • App version

  • Diagnostic data

  • Crash logs

  • Performance metrics

  • Network connectivity

D. AI Conversation Data

AI-generated conversations may be stored, analyzed, or reviewed for:

  • Improving AI accuracy

  • Training models

  • Enhancing user experience

  • Detecting misuse or policy violations

DO NOT share sensitive information such as:

  • Medical or mental health details

  • Financial account numbers

  • Legal issues

  • Government-identifying data

InteliGuru is not HIPAA-compliant and not designed for therapy, clinical treatment, or medical use.

E. Payment Information

Handled entirely by third-party processors:

  • Apple App Store

  • Google Play Billing

  • PayPal (if applicable)

We do not store full credit card information.

F. Cookies & Tracking Technologies

When accessing the website, we may use:

  • Cookies

  • Analytics tools (Google Analytics, Firebase Analytics)

  • Web beacons

These track performance and user experience.

3. HOW WE USE YOUR INFORMATION

The Services are not intended for anyone under the age of 16.

We do not knowingly collect children’s data.

If we discover an account belonging to a minor:

  • It will be terminated

  • Associated data will be deleted

Parents may request deletion by contacting us.

8. DATA RETENTION

We retain data:

  • As long as necessary to provide Services

  • As required by law

  • For legitimate business purposes

  • As needed for analytics or platform improvements

A. Account Data

Kept until you delete your account OR prolonged inactivity occurs.

B. AI Interaction Logs

Conversation data may be deleted upon request unless needed for security/legal obligations.
